Direct Collective Advisory Board Member Agreement

 

Introduction

Direct Collective, a DBA of Talent Simplified, LLC, extends this invitation to join the inaugural Direct Collective Advisory Board ("Advisory Board"). The Advisory Board is convened to spearhead Direct Collective's initiatives in innovating and enriching the member experience within our vibrant community.

 

Roles and Responsibilities

 

·      Participation in Meetings: The Advisory Board Member agrees to participate in virtual meetings held over Zoom, totaling 8 meetings annually, focused on discussing strategies, initiatives, and community growth.

·      Active Contribution: The Advisory Board Member shall actively contribute to the Direct Collective LinkedIn channel, fostering discussions, sharing insights, and engaging with fellow leaders. Moreover, the Advisory Board will strive to participate in any live events offered within the Direct Collective.

·      Advocacy for Community Values: The Advisory Board Member shall advocate for a "give to get" and member-first approach, promoting collaboration and support within the Direct Collective community.

 

Term of Engagement

The term of engagement for the Advisory Board Member shall be for the calendar year 2024, with an option for renewal subject to mutual agreement. Membership and advisory participation will be terminated should the member move to a new role where they no longer oversee contingent labor directly for an organization.

 

Compensation and Expenses

Direct Collective shall cover reasonable expenses for any in-person meetings organized by the Advisory Board, including travel and accommodations where applicable. No other compensation or expense coverage is provided.

 

Confidentiality, IP, and Conflict of Interest

The IP conveyed and adopted into practice during Advisory Board discussions will be considered IP of Direct Collective. The Advisory Board Member acknowledges the confidential nature of discussions and agrees to maintain confidentiality. Any conflicts of interest shall be promptly disclosed to Direct Collective.

 

 

Meeting Schedule and Communication

Advisory Board meetings shall be every 7 weeks online. Additional communication may occur through agreed-upon channels between meetings.

 

Termination

Either party may terminate this agreement with written notice. Upon termination, the Advisory Board Member shall cease participating in Advisory Board activities.

 

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state of Florida.

 

Acceptance

I hereby acknowledge and accept the terms and conditions outlined in this Direct Collective Advisory Board Member Agreement.

 

I understand and agree to fulfill my responsibilities as an Advisory Board Member, including active participation in bimonthly meetings, contributing to Direct Collective's LinkedIn channel, and advocating for the values and growth of the community.

 

I acknowledge the confidential nature of discussions within the Advisory Board and agree to maintain confidentiality. I understand that any conflicts of interest shall be promptly disclosed to Direct Collective.

 

Furthermore, I agree that any intellectual property shared or adopted during Advisory Board discussions shall be considered joint ownership with permission granted to Direct Collective to use in commercial activity.

 

I acknowledge that termination of this agreement may occur upon written notice by either party or if I transition to a role where I no longer oversee contingent labor directly for an organization.

 

By signing electronically, I confirm my acceptance and commitment to serve as an Advisory Board Member for Direct Collective, adhering to the terms and conditions outlined herein.

Proposed Addendum to the Direct Collective Advisory Board Member Agreement
Addendum Date: 4/29/25

This Addendum modifies the terms of the Direct Collective Advisory Board Member Agreement ("Agreement") previously accepted by the undersigned Advisory Board Member ("Board Member") and Direct Collective, a DBA of Talent Simplified, LLC ("Direct Collective").

Terms of the Addendum:

  1. Continued Advisory Board Participation
    In circumstances where a Board Member transitions to a role outside of directly overseeing contingent workforce programs (e.g., a solution provider or vendor role), Direct Collective may, at its discretion, allow the Board Member to continue serving on the Advisory Board through the end of their original term.

  2. Restricted Community Access
    Upon such a transition, the Board Member’s general access to the Direct Collective member community will be paused, including but not limited to:

    • Member Vault discussions and resources

    • Member Match program

    • Peer Talks, Member Talks, and peer-led roundtables

    • Member-exclusive events, forums, and networking opportunities

    The Board Member will retain access solely for the purpose of participating in scheduled Advisory Board meetings and strategic discussions.

  3. Confidentiality and Non-Commercial Conduct
    The Board Member reaffirms their obligation to maintain the confidentiality of Advisory Board and Direct Collective community discussions. The Board Member agrees not to leverage their Advisory Board participation for any direct sales, marketing, or business development activities.

  4. Term Completion and Future Eligibility
    This exception applies only for the current Advisory Board term. Upon the conclusion of the term, the Board Member's participation will conclude unless otherwise agreed upon in writing.

  5. No Precedent
    This Addendum is granted at the sole discretion of Direct Collective and does not establish precedent for other Board Members or future Advisory Board participants.
